Beyond Meat (BYND) stock fell sharply Tuesday as traders reacted to the company’s planned 1-for-30 reverse stock split. BYND traded at $0.4101, down 21.14%, after heavy selling pushed the shares near their intraday lows during the session. The split will take effect this week as Beyond Meat works to preserve its Nasdaq Global Select Market listing status.
Beyond Meat Sets 1-for-30 Reverse Stock Split
Beyond Meat’s board selected a 1-for-30 ratio from thirty alternatives that shareholders previously approved at a special company meeting. The company plans to make the reverse stock split effective at 11:59 p.m. Eastern Time on August 13, 2026. Split-adjusted trading should begin at the Nasdaq market open on August 14 under the company’s existing BYND trading symbol.
Under the transaction, every 30 outstanding Beyond Meat shares will convert automatically into one share when the split becomes effective. The company will not issue fractional shares and will instead round qualifying record holders upward to the nearest whole share. Meanwhile, brokers, banks, and other nominees may apply their own procedures when adjusting positions held through street-name accounts.
Beyond Meat will also reduce authorized common shares from three billion to 100 million as part of the capital restructuring. Total authorized capital stock will therefore fall from about 3.0005 billion shares to 100.5 million shares after the adjustment. The company said these structural changes will leave the common stock’s par value and proportional voting power largely unchanged overall.
Nasdaq Compliance Drives Beyond Meat Action
Beyond Meat designed the reverse split mainly to help restore compliance with Nasdaq’s minimum bid price requirement for continued listing. The move raises the per-share trading price mechanically while reducing the number of outstanding shares by the same proportional ratio. However, the transaction does not directly change Beyond Meat’s underlying business value or each shareholder’s proportional ownership interest.
The company will also adjust convertible note conversion rates, warrant terms, equity awards, and related exercise prices after effectiveness. Beyond Meat will reduce shares reserved under employee equity plans to reflect the same 1-for-30 reverse split ratio proportionately. Equiniti Trust Company will serve as the transfer and exchange agent for registered holders throughout the planned share conversion process.
Shareholders approved multiple reverse split options during a special meeting held on November 19, 2025, before the latest board decision. That approval gave the board authority to choose the final ratio based on market conditions and Nasdaq listing requirements. The selected ratio now places Beyond Meat on a short timetable before its shares begin trading on a split-adjusted basis.
