    Ondas (ONDS) stock was up slightly Wednesday after closing Tuesday at $7.72, up 4.6%. The company announced three completed defense technology acquisitions with an aggregate purchase price of $56 million.

    The acquisitions include Insignito, Ottopia Defense and Caribou Labs. Ondas is using the deals to expand its autonomous defense platform across drone detection, battlefield communications and navigation in environments where GPS may not work.

    The $56 million consideration can be paid in cash or Ondas stock. The agreements also include potential earnouts of up to $32 million if the acquired businesses hit performance targets through 2028.

    Three Deals Expand Ondas Defense Platform

    Insignito adds passive acoustic technology designed to detect and track drones from their sound signatures. Its DUMBO system has already been deployed in conflict zones and is aimed partly at smaller FPV and low-altitude drones that can be difficult for traditional sensors to detect.

    Ottopia Defense provides communications and remote-control software for unmanned systems. Its technology manages video, telemetry and commands across unreliable or bandwidth-constrained networks, helping human operators maintain control in difficult operating environments.

    Caribou Labs focuses on resilient communications and positioning when satellite navigation is unavailable or disrupted. Its technology is already deployed in active conflict environments and is intended to complement Ondas’ aerial, ground and command platforms.

    Ondas says the combined businesses will strengthen its broader “Systems-of-Systems” strategy. The goal is to combine detection, connectivity, navigation and autonomous platforms into more complete defense solutions.

    Management also said the $56 million purchase price represents less than three times its forecast for the businesses’ combined 2027 revenue. That valuation is based on Ondas’ own forecasts rather than reported future results.

    Stock Consideration Adds Dilution Risk

    The acquisitions also come with new equity issuance. Ondas approved restricted stock units covering about 2.98 million stocks and options for another 80,000 stocks for 37 employees joining through the transactions.

    A separate SEC filing also registered about 7.82 million ONDS stocks for resale by holders connected to acquisitions including Insignito, Caribou Labs and Ottopia. Ondas itself will not receive proceeds from those resales.

    The registered resale amount is modest relative to roughly 582 million ONDS stocks outstanding, but it still creates potential supply pressure. Some resale restrictions are in place to limit how quickly acquisition-related holders can sell into the market.

    The main investor risks are therefore integration, dilution and execution. Ondas must prove that the acquired technologies can generate the expected revenue and strengthen its existing platforms enough to justify the purchase price.

    The stock also remains volatile. ONDS closed Tuesday at $7.72 after gaining 4.6%, but it is still well below its 52-week high above $15.

    For now, the acquisitions are the clearest new catalyst. Ondas has completed the three transactions and is moving directly into integration, while investors weigh the added defense capabilities against earnouts and stock-based consideration.
